What is a confirmation statement?
A confirmation statement is a legal document that must be filed with Companies House annually, regardless of whether your company is trading or dormant. It replaced the Annual Return from the 30th June 2016 and contains a number of details regarding the company and its principals, such as: details of people or entities that have control within the company also known as ‘persons with significant control’, details about share capital, shareholders, the registered office address, as well as, details about the directors and the company secretary.
The confirmation statement must be filed annually so that Companies House are kept up to date with any changes to those areas mentioned above that may have occurred throughout the year. Failure to submit a confirmation statement can result in the directors of the company being fined personally, or a company being struck off.
