What is a dormant company?

A dormant company is a company registered with Companies House that does not carry out any activities. Dormant companies are not liable to pay Corporation tax and do not need to file a corporation tax return. However, they must write to HMRC and tell them that they are a dormant company and so will not be filing a corporation tax return.

A dormant company must still file annual accounts 9 months after the financial year end and a confirmation statement annually.

The company secretarial team at Shaw Gibbs are responsible for preparing and filing the annual accounts and confirmation statements for the companies that subscribe to our Dormant Company Secretarial service.
