What is a dormant company?

A dormant company is a company registered with Companies House that does not carry out any activities. Dormant companies are not liable to pay Corporation tax and do not need to file a corporation tax return. However, they must write to HMRC and tell them that they are a dormant company and so will not be filing a corporation tax return.

A dormant company must still file annual accounts 9 months after the financial year end and a confirmation statement annually.
